Which state should I form my LLC in?
Most operating businesses form in the state where they physically conduct business, because forming in another state generally requires also registering as a "foreign entity" in your home state — meaning two sets of fees and two sets of annual filings. Delaware and Wyoming are popular for businesses raising venture capital or seeking specific legal protections. Choosing the right state for your situation is a decision we recommend discussing with an attorney or CPA. We can explain procedural differences and the filing process for any state you choose.
How long does the filing process take?
Standard processing is 5–7 business days. Expedited is 2–3 business days. Same-day prep is available for orders placed before 12pm ET. Actual time to receive stamped documents depends on state processing, which varies by state, time of year, and agency volume. We'll give you a realistic timeline for your specific state at order time.
What is a registered agent and do I need one?
A registered agent is required in every state where your business is formed or registered. The agent must have a physical street address in that state and be available during business hours to receive official mail and legal notices. You can serve as your own agent, designate someone in your company, or hire a commercial registered agent service. We do not currently offer registered agent service, but we're happy to refer you to providers we recommend.
Do state filing fees cost extra?
Yes. State filing fees range from around $50 to $500 depending on the state and entity type. Our service fee covers preparation, filing, and delivery. State fees are passed through at cost — you pay exactly what the state charges, with no markup. We send a payment link with the full breakdown before processing.
Can I form a business if I'm not a US citizen?
Yes — non-US citizens and non-residents can form LLCs and corporations in most US states. You generally do not need a Social Security Number to form the entity itself. EIN applications for non-residents follow a different process and may require additional documentation and longer processing times (typically 4–8 weeks by fax or mail). Foreign owners may have additional US tax filing obligations that you should discuss with a CPA familiar with international tax.
What's the difference between an LLC and a Corporation?

If your filing is rejected for an error on our part, we'll correct and resubmit at no additional service fee, or refund your service fee in full at your option. If rejection is due to information you provided (e.g., name unavailability or inaccurate details), we'll work with you to correct and resubmit; you may incur additional state fees on resubmission.
